Terms of use

Terms for using BADEE

These terms apply to everyone who signs in to BADEE. The business that subscribed to BADEE also has a separate agreement with H.H.A Advisory covering the plan, price and allowances. Where the two differ, that agreement wins.

TODO have these terms reviewed by UAE counsel before BADEE is offered to paying clients.

1. The service

BADEE is provided by H.H.A Advisory (operator of BADEE) (TODO registered legal name), with technology by BRev Digital. It helps a business brief a campaign, get AI suggestions for copy and key visuals built from its own brand and photos, approve each post, and schedule it.

Features depend on the business's plan. Some formats and campaign types are shown but not yet available. We may change or improve BADEE over time, and we will tell businesses about changes that matter to them.

2. Accounts

  • The BADEE team creates each login. There is no public sign-up.
  • Keep your password private and do not share your login. Tell us straight away if you think someone else has used it.
  • Each login belongs to one business and sees only that business's workspace.
  • You must be 18 or over and authorised by the business to act for it.

3. Your content

"Your content" means the brand manual, logos, fonts, photos, videos, audio, briefs and results that the business gives us. The business keeps ownership of it. It gives H.H.A Advisory permission to store, process and adapt it only to provide BADEE to that business, including sending text and selected photos to our AI provider as described in the privacy policy.

The business confirms that:

  • it owns its content or has permission to use it, including any music, fonts and images;
  • everyone shown or heard in it has agreed to appear in the business's marketing, with a parent or guardian agreeing for anyone under 18;
  • it has explicit consent for any photo that reveals health information, such as a treatment result;
  • its claims are true, and its marketing follows the rules for its sector in the UAE, including any advertising permits its regulator requires.

The finished posts belong to the business. TODO confirm with Hania who owns the layout templates and whether the business may reuse exported files after it leaves BADEE.

4. Approval and posting

Nothing is posted without the business's approval. A person at the business approves every post and its week before it is scheduled. The business is responsible for what it approves, so read each post, including the Arabic and English text, before approving.

Today BADEE exports approved posts as files and does not post to social platforms. When posting is switched on, BADEE will publish only approved posts, on the dates approved.

5. AI suggestions

AI can be wrong. A suggested headline, caption or hashtag may contain a mistake, sound unlike your brand, or make a claim you cannot support. Treat every suggestion as a draft. Approving a post means you have checked it.

6. Acceptable use

Do not use BADEE to:

  • make false, misleading or unapproved medical or health claims;
  • upload content that is unlawful, offensive, or breaks UAE media and advertising rules;
  • upload anyone's personal or health data without their consent;
  • infringe anyone's copyright or trademark;
  • try to reach another business's data, break the service's security, or overload it.

We may remove content or suspend a login that breaks these rules, and we will tell the business why.

7. Social platforms

When BADEE posts to Instagram, Facebook, TikTok or YouTube, each platform's own terms also apply to the business and its content. The platforms decide whether a post is accepted, shown or removed, and we cannot control that.

When BADEE uploads to YouTube, it uses YouTube API Services, and by using that feature you agree to be bound by the YouTube Terms of Service.

8. Availability and liability

We work to keep BADEE available and the data safe, but we cannot promise it will never be interrupted. As far as the law allows, we are not responsible for indirect losses, such as lost bookings or revenue, or for content the business approved.

TODO set the liability cap (for example, fees paid in the last 12 months) with counsel.

9. Ending

The business can stop using BADEE under its agreement with H.H.A Advisory. When it does, we delete its data as set out in the privacy policy. A business can ask for its approved posts to be exported before then. Anyone can ask us to delete their data: see data deletion.

10. Law and contact

These terms are governed by the laws of the United Arab Emirates. Disputes go to the courts of TODO the Emirate whose courts decide disputes.

We may update these terms. We will change the date at the top and tell businesses about significant changes in advance.
